1. Acceptance of Terms
By accessing or using WAVE Platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Service Description
WAVE Platform provides enterprise-grade live streaming infrastructure including:
- Multi-protocol streaming (WebRTC, SRT, RTMP, NDI, OMT, etc.)
- Real-time analytics and monitoring
- Stream recording and transcoding
- API access and SDK integration
- Enterprise support and SLA guarantees
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring your content complies with applicable laws
- Not violating intellectual property rights
- Not engaging in prohibited activities (spam, abuse, etc.)
4. Service Level Agreement
For paid plans, we provide a 99.99% uptime SLA. Service credits may be issued for verified downtime exceeding this threshold, as detailed in your subscription agreement.
5. Payment Terms
- Fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We may change pricing with 30 days notice
- Overdue payments may result in service suspension
6. Intellectual Property
You retain all rights to your content. You grant us a license to host, stream, and process your content as necessary to provide the service.
7. Termination
We may suspend or terminate your account for violation of these terms. You may cancel your account at any time through your dashboard settings.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- WAVE Platform and its services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- We do not warrant that the service will be uninterrupted, error-free, or secure
- In no event shall WAVE Platform, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses
- Our total liability for any claims arising under these terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100)
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless WAVE Platform, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your content, or your violation of these terms.
10. Dispute Resolution
Any dispute arising from these terms shall be resolved as follows:
- Informal Resolution: We encourage you to contact us first to seek informal resolution
- Binding Arbitration: Disputes not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules
- Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action
- Small Claims Exception: Either party may bring qualifying claims in small claims court
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.
12. Modifications to Terms
We reserve the right to modify these terms at any time. We will provide at least 30 days' notice of material changes by posting the updated terms on our website and, where practicable, notifying you by email. Your continued use of the service after such modifications constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of the service.
13. Force Majeure
WAVE Platform shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14. Severability
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect and enforceable.
15. Entire Agreement
These terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and WAVE Platform, Inc. concerning the service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

17. SMS / Text Message Program Terms

WAVE Online Account Notifications
Program description
WAVE Online, LLC (“WAVE”) operates an SMS / text messaging program for users of the WAVE platform. By opting in, you agree to receive automated text messages from WAVE for the following purposes:
- Two-factor authentication (2FA) verification codes
- Account and stream operational notifications
- Payment and subscription notifications
- Customer-service responses to your inquiries
- Internal employee incident paging (for WAVE employees only)
Message frequency
Message frequency varies based on your account activity, security events, and stream activity. You may receive up to 50 messages per month per phone number. Most users receive between 1–15 messages per month.
Message and data rates
Msg & data rates may apply. Your mobile carrier may charge you for sending and receiving text messages, depending on your wireless plan. WAVE does not charge you for SMS messages. Contact your wireless carrier for information about your messaging plan and any associated fees.
How to opt in
- Add your phone number on the Notification Settings page in your WAVE account dashboard and check the SMS opt-in box.
- Reply START, YES, or SUBSCRIBE to a verification SMS we send when you first add your phone number.
By opting in, you confirm that you are the subscriber to the wireless number you provided or are authorized to opt in on behalf of the subscriber.
How to opt out
You can opt out at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message you receive from us. After opting out, you will receive one final confirmation message acknowledging your opt-out. WAVE will not send further SMS messages to that phone number except for transactional account-security messages required to protect your account. You can also disable SMS notifications via your Notification Settings page.

Carrier disclaimer
Wireless carriers, including AT&T, T-Mobile, Verizon, US Cellular, Sprint, Boost, MetroPCS, Cricket, and others, are not liable for delayed or undelivered messages. Message delivery is not guaranteed and depends on your carrier's network availability.
Supported carriers
This program is supported by major U.S. wireless carriers. International messaging (including Canada, UK, EU) is supported on a best-effort basis subject to carrier and regulatory restrictions.

Eligibility
You must be 18 years of age or older, or have parental consent if 13–17, to opt in to this SMS program. WAVE does not knowingly send SMS messages to individuals under 13.
